Terms of Service
Effective date: October 19, 2026
These Terms of Service (“Terms”) govern your use of the US Corp Registry website, notice programs, and filing-assistance services. By using the website, creating a notice request, purchasing a service, or electronically accepting these Terms, you agree to them.
1. Company status and scope
US Corp Registry is a private, third-party filing service. We are not affiliated with, endorsed by, or acting as any federal, state, or local government agency. You may file directly with the applicable government agency, often at a lower cost.
We provide administrative filing assistance. We do not provide legal, tax, accounting, or financial advice, and use of the services does not create an attorney-client relationship.
2. Eligibility and authority
You must be at least 18 years old and legally able to enter a contract. You represent that you are authorized to provide the submitted business information, contact information, signatures, and filing instructions and to act for the relevant business.
3. Information you provide
You are responsible for providing accurate, complete, and current information. You must review all information before submission. Delays, rejections, penalties, or other consequences caused by inaccurate, incomplete, late, or unauthorized information remain your responsibility.
4. Filing services and authorization
When you order a filing service and provide the required electronic authorization, you authorize us and our service providers to prepare, transmit, and communicate about the requested filing. A notice-only registration does not authorize us to submit a filing.
Processing estimates are not guarantees. Government processing times, system outages, rejected filings, and events outside our control may affect completion.
5. Notice service
Notice and reminder information is provided for convenience and may not identify every filing, tax, license, or other obligation. Delivery is not guaranteed. You remain responsible for monitoring official government sources and meeting all requirements and deadlines.
6. Fees, payment, and refunds
Prices shown at checkout may include our service fee, government filing fees, late fees, reinstatement fees, and selected add-on fees. Government fees are paid to the applicable agency. You authorize the displayed charge when you submit payment.
Service fees are refundable only until work begins or the filing is transmitted, unless otherwise required by law. Government fees and completed services are nonrefundable. If an agency rejects a filing because of our preparation error, we will correct and resubmit it without another service fee; additional government fees may still apply.
7. Electronic records and signatures
You consent to electronic records and signatures. Your electronic action, typed signature, or drawn signature is intended to have the same legal effect as a handwritten signature to the extent permitted by law. You may retain a copy of these Terms and transaction records.
8. Email, text messages, and calls
Transactional communications necessary to provide a requested service may be sent using the contact details you provide. Marketing email, text-message, and call consent is requested separately and is not a condition of purchase.
Text-message programs are also governed by our SMS Terms. You may change your choices through Communication Preferences.
9. Acceptable use
You may not use the website to submit false, misleading, fraudulent, infringing, unlawful, or unauthorized information; interfere with site security; scrape or overload the service; impersonate another person; or attempt to access another user’s data.
10. Third-party services
Government agencies, payment processors, communications providers, and other vendors operate independently. Their terms, availability, and processing times may apply. We are not responsible for a third-party system’s acts, omissions, or availability.
11. Disclaimers
To the maximum extent permitted by law, the website and services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted operation, guaranteed acceptance by an agency, or delivery of every reminder.
12. Limitation of liability
To the maximum extent permitted by law, US Corp Registry and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, or business opportunities. Our aggregate liability for a claim relating to a paid service will not exceed the service fees you paid us for that service. These limitations do not apply where prohibited by law.
13. Governing law
These Terms are governed by Florida law, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes must be brought in the state or federal courts located in Miami-Dade County, Florida.
14. Changes and severability
We may update these Terms. The effective date identifies the current version. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
